Overview and Responsibilities
The Paramount Global Content Distribution legal team is seeking a Senior Counsel. Clients include all of the leading international pay, free and digital broadcasters and/or platforms, such that considerable experience in understanding these businesses is key. This is a hybrid position with the expectation of attending the office (in New York, Los Angeles or London) at least two (2) days per week. No supervisory responsibilities are included.
- Perform business and legal affairs functions in connection with the worldwide distribution of features and episodic content, with a focus on pay TV, basic TV, free TV, SVOD and FVOD
- Handle all aspects of licensing matters, including advising on deal structure and strategy, drafting documents, negotiating all phases of transactions from term sheet to definitive agreement, and consulting on the management and administration of active agreements
- Assist with matters related to licensing and distribution, including acquisitions, content protection, Motion Pictures Association initiatives, rights conflict analysis and collective management issues
- Negotiate and draft optimal distribution deals to help achieve the commercial objectives of the business while minimizing the legal risk to the company
- Advise the distribution group in connection with complex legal matters
- Work closely with the sales team, advising on, structuring, negotiating, drafting and reviewing for execution a variety of agreements for the licensing and exploitation of Paramount Global content (current and library programming)
- Collaborate with, synthesize feedback from and provide advice to sales, accounting, finance, marketing and operations teams on all matters
- Perform additional responsibilities as assigned and directed by senior members of the Business & Legal Affairs team
Basic Qualifications:
- 8+ years of legal experience, including 3 years of solid transactional experience with a leading broadcaster, channel provider, TV or video platform, network, motion picture studio, or law firm within these areas
- JD degree with excellent academic credentials
Additional Qualifications:
- Experience in the international content distribution marketplace is preferred
- Experience with traditional and digital, linear and on-demand media (experience with format licensing agreement is a plus)
- Strong analytical abilities, excellent writing/drafting skills and teamwork-oriented attitude
- Proven track-record of creatively addressing the legal and business issues arising in a multinational media organization
- Ability to analyze transactions and risks from a sound pragmatic and commercial perspective, whilst maintaining professionalism and technical expertise
- Willingness to work effectively and timely across time zones with colleagues and clients throughout the globe.

Additional Information:
Hiring Salary Range: $165,000 – $195,000. The hiring salary range for this position applies to New York City, California, Colorado, Washington state, and most other geographies. Starting pay for the successful applicant depends on a variety of job-related factors, including but not limited to geographic location, market demands, experience, training, and education. The benefits available for this position include medical, dental, vision, 401(k) plan, life insurance coverage, disability benefits, tuition assistance program and PTO or, if applicable, as otherwise dictated by the appropriate Collective Bargaining Agreement.
